How to close a company in Ukraine from abroad: sell the LLC to a non-resident or liquidate it
A foreign owner can close out a Ukrainian LLC in two lawful ways. Selling the stake to a new owner, often a non-resident, changes the member in the state register within days, and the company carries on with the buyer and with all its obligations. Liquidation ends the company itself: a members' decision, a creditor period of two to six months, a tax audit and a termination entry. legal.ua publishes 3–5 working days for the first route and from 90 working days for the second, both from UAH 10,000.
The choice depends on the goal: the company gone from the register, or you gone from the company. The sections below walk through both routes with the statutory steps, what each one leaves behind, and how to run either from abroad.
For owners who have chosen a route, legal.ua runs the sale of an LLC to a non-resident and a full liquidation under a power of attorney, with price and deadline fixed in the contract before work starts.
Two routes out: selling the stake or liquidating the company
A sale transfers the owner's share in the charter capital to a buyer; liquidation terminates the company as a legal person. The difference matters because a Ukrainian LLC answers for its own obligations with all its property, and it is separate from its members (Law No. 2275-VIII, Art. 3).
After a sale, the same company, with the same tax number, contracts and history, belongs to someone else. After liquidation, the Unified State Register records the termination and the company ceases to exist. A third, narrower door exists for minority owners: a member holding less than 50% may leave the company at any time without the others' consent, while a member with 50% or more needs their consent unless the charter says otherwise (Art. 24).
Selling the LLC to a non-resident: steps, documents, timeline
A sale of the stake is a share purchase agreement plus a transfer act, followed by a registration of the new member; the registrar has 24 hours, weekends and holidays excluded, to act (Law No. 755-IV, Art. 26(1)(1)). The work happens before the filing:
- Check that the stake is paid up. A member may sell only the paid part of the share (Law No. 2275-VIII, Art. 21(3)).
- Clear the other members' rights. Co-owners have a pre-emptive right. The seller notifies them in writing, and if nobody answers within 30 days the share may go to a third party on the notified terms (Art. 20(3)). The charter can change or remove this right (Art. 20(6)) or require the others' consent (Art. 21(2)). A sole owner skips this step.
- Prepare the buyer's file. Foreign documents are apostilled or legalised and translated into Ukrainian with a certified translation; a corporate buyer's register extract must be issued no earlier than one month before filing (Law No. 755-IV, Art. 15(1)(13), (13-1), (14)). A foreign individual buyer also gets a Ukrainian taxpayer number, which the tax authority issues within three working days of Form 1DR (Ministry of Finance Order No. 822, Sections IV and VII).
- Sign the agreement and the transfer act. Signatures on the act of acceptance and transfer of the share are notarised on special notarial forms (Law No. 755-IV, Art. 17(5)).
- File the change. The registrar records the new member, the ownership structure and the beneficial owner. The fee is 0.3 of the subsistence minimum: UAH 1,000 in 2026 after rounding, or UAH 750 for electronic filing (Art. 36(1), (5); Budget Law 2026, Art. 7).
- Replace the director and update the bank. If the seller was also the director, the new owner appoints a replacement (change of director at legal.ua); a foreign director generally needs a work permit (Law No. 5067-VI, Art. 42(1)). legal.ua lists closing the existing accounts and opening new ones after the change of owner as part of this service.
legal.ua publishes 3–5 working days and a price from UAH 10,000 for this route. In our group's experience that holds when the buyer's documents are ready, no pre-emptive right is pending and the notary and bank work to schedule; each of those can add days.
Liquidation: stages, tax audit and why it takes 90+ working days
Liquidation is the full termination of the company, and the Civil Code fixes a creditor claims period of at least two months before the company can be removed from the register. That minimum, plus the tax audit and the paperwork around it, is why legal.ua quotes from 90 working days. The stages:
| Stage | Rule | Source |
|---|---|---|
| Members' decision to liquidate, commission appointed | Three quarters of the votes of all members unless the charter sets another threshold, no lower than a majority; a sole member decides alone in writing | Law No. 2275-VIII, Arts. 30(2)(13), 34(2), 34(5), 37 |
| Notice to the registrar | Within three working days of the decision | Civil Code, Art. 105(1) |
| Creditor claims period | From two to six months after the notice is published; each claim answered within 30 days | Civil Code, Art. 105(5), (6) |
| Wind-down | Collect receivables, close accounts except the settlement account, inventory, dismiss staff | Civil Code, Art. 111 |
| Unscheduled documentary tax audit | Triggered by the start of termination; 5 working days for small business, 10 for others, 15 for large taxpayers, extendable | Tax Code, 78.1.7, 82.2 |
| Termination entry | Application plus archive certificate, filed after the creditor period; refused while tax or social-contribution debt shows | Law No. 755-IV, Arts. 17(14), 28(1)(11) |
Two months of creditor period alone equal more than 40 working days before anything final can be filed. The audit, the interim and final balance sheets and the archive then take the rest. Debts change the picture: the commission pays creditors in the order set by the Civil Code (Art. 112). If the company cannot pay all creditors in full, it must apply to the commercial court for bankruptcy within one month (Bankruptcy Code, Art. 34(6)), and the bankruptcy route is quoted by legal.ua from 120 working days.
What stays with the old owner after each route
In both routes the company's debts belong to the company. What differs is who stands behind it afterwards and how long the past can be reopened.
- After a sale, the buyer owns a company with its full history: taxes, contracts, court cases, employees. The seller keeps the sale agreement and an updated register extract, the two documents legal.ua lists as the result of this service.
- If the company later goes bankrupt, a court can invalidate certain transactions, on the grounds listed in the Code, made in the three years before the case opened (Bankruptcy Code, Art. 42(1)), and founders, members or the director whose fault caused the bankruptcy can face subsidiary liability for its debts (Art. 61(2)). A sale moves ownership; the look-back period moves with the company.
- After liquidation, the register shows the company as terminated, the tax audit has reviewed its tax history before termination, and the documents due for long-term storage sit in the state archive (Law No. 755-IV, Art. 17(14)).
The logic of the two routes gives a rule of thumb: sell a company whose books are clean and whose buyer has a reason to want it. A company with open disputes or tax questions is safer closed through liquidation, where the tax audit and the creditor claims period test its tax and creditor position before termination. On the buying side, financial and tax due diligence at keys.ua shows what the history contains.
Side-by-side: sale to a non-resident vs liquidation
The table puts the two routes on one page for a single-owner LLC without disputes.
| Sale of the stake | Liquidation | |
|---|---|---|
| What happens to the company | Continues under the new owner | Terminated in the register |
| Timeline published by legal.ua | 3–5 working days | From 90 working days |
| Price published by legal.ua | From UAH 10,000 | From UAH 10,000 |
| State fee | UAH 1,000 for the register change (UAH 750 online) | Article 36 lists no fee for registering termination |
| Tax audit | Outside Tax Code 78.1.7, which covers termination and reorganisation | Mandatory ground: Tax Code 78.1.7 |
| Creditor period | None | 2–6 months |
| Company's obligations | Stay with the company and its new owner | Settled or closed before termination |
| Best fit | Clean company, ready buyer, speed matters | Company with a history you want closed |
Doing it from abroad: power of attorney, apostille, translation
Both routes can be run without travelling to Ukraine. A representative files on a notarised power of attorney or on a power of attorney issued under the law of a foreign state (Law No. 755-IV, Art. 14(2)).
- Sign the members' decision or the transfer act before a notary or at a Ukrainian consulate. For a liquidation decision legal.ua names both options. Agree the signing format with the lawyer who will file, because the registrar checks the notarial requirements of Law No. 755-IV (Arts. 15, 17).
- Apostille the signed documents. Ukraine is a party to the 1961 Hague Apostille Convention; documents from non-member states go through consular legalisation unless a treaty exempts them (Art. 15(1)(13)).
- Have them translated into Ukrainian with a certified translation (Art. 15(1)(14)).
- Time corporate register extracts: they must be issued within one month before filing (Art. 15(1)(13-1)).
- Keep the originals flowing to one lawyer in Ukraine, who files, answers the registrar and follows the tax audit.
The same document mechanics apply when you set a company up, so our registration guide is a useful companion, and the bank account guide explains what the bank will ask of a new foreign owner. More procedures are collected in the guides hub.
Frequently asked questions
How long does it take to close a company in Ukraine?
A voluntary liquidation finishes only after the creditor claims period of two to six months ends, and legal.ua quotes from 90 working days in total. Selling the company to a new owner takes 3–5 working days by legal.ua's published timeline, and the company then continues under the buyer.
Can I sell my Ukrainian LLC to a foreigner?
Yes. A member may sell the paid-up part of the share to a third party, subject to the other members' pre-emptive right. The foreign buyer's documents are apostilled and translated, signatures on the transfer act are notarised, and the registrar records the new member within 24 hours.
Is a tax audit mandatory when closing an LLC in Ukraine?
Yes. The start of termination is a ground for an unscheduled documentary tax audit under sub-item 78.1.7 of the Tax Code. It lasts 5 working days for small business, 10 for most companies and 15 for large taxpayers, and can be extended.
Do I need to travel to Ukraine to close my company?
Usually the owner stays abroad. Decisions are signed before a notary abroad, then apostilled and translated, or at a Ukrainian consulate, and a representative files them on a power of attorney.
Does selling the company free me from its debts?
The debts belong to the company and stay with it after the sale. If the company is later declared bankrupt, certain transactions from the three years before the case can be challenged, and founders or directors at fault can face subsidiary liability.
Tell legal.ua the company's EDRPOU code, who owns it, and whether it has debts, staff or open bank accounts. A lawyer checks the registers and names the route, the price and the timeline.
Why legal.ua: price and deadline are fixed in the contract before work starts; owners abroad sign under a power of attorney; offices in Kyiv, Lviv and Dnipro.
